Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the Pocket Editor mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and SilverGrid Technologies LLC ("Company", "we", "us", or "our").

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial purposes.

3. Your Content

You retain all rights to the photos and other content you edit with the App ("Your Content"). All editing is performed locally on your device, and we never access, collect, or transmit Your Content. You are solely responsible for Your Content and for ensuring you have the rights to edit any photo you use with the App.

4. Restrictions

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the App for any commercial purpose without our prior written consent
• Use the App in any manner that violates applicable laws or regulations
• Use the App to create or edit content that is unlawful, infringing, or that violates the rights of others
• Attempt to gain unauthorized access to any portion of the App or its systems

5. Intellectual Property Rights

The App and all of its content, features, and functionality (including but not limited to all information, software, text, displays, images, audio, and the design, selection, and arrangement thereof) are owned by SilverGrid Technologies LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Age Requirements

If you are under the age of 13 (or the applicable age of digital consent in your jurisdiction), you must have your parent or legal guardian's permission to use the App.

7. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The App will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components
• The results of using the App, including AI-enhanced results, will meet your requirements or expectations

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILVERGRID TECHNOLOGIES LLC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF OR DAMAGE TO YOUR PHOTOS OR OTHER CONTENT.

9. Indemnification

You agree to defend, indemnify, and hold harmless SilverGrid Technologies LLC and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

10. Updates and Changes

We reserve the right to modify, update, or discontinue the App (or any part thereof) at any time with or without notice. We may also update these Terms from time to time. The updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the App after any changes constitutes your acceptance of the new Terms.

11. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Mexico.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and SilverGrid Technologies LLC regarding the use of the App and supersede all prior and contemporaneous written or oral agreements.
